Terms and conditions of sale

The rules between The Depot SRL and its trade customers: prices, VAT, delivery, returns, warranties, retention of title and disputes.

Updated 5 November 2026 To be reviewed by a lawyer The Depot SRL · BE 0893.674.972

1. Scope

These terms govern all sales by The Depot SRL, Kruisstraat 5, 3520 Zonhoven, VAT BE 0893.674.972, to trade customers: self-employed people, companies and associations acting in the course of their activity.

The site is reserved for trade customers. Any order implies unreserved acceptance of these terms. The customer's own terms do not apply unless The Depot has agreed in writing beforehand.

The version published on the site at the time of the order prevails. The Depot may amend the terms for the future; orders already confirmed remain governed by the version in force when they were confirmed.

2. Trade account

Access to prices and to the Pro portal is granted after checking the VAT number and the company in the Crossroads Bank for Enterprises. One account per company. Login details are personal and confidential.

The Depot may refuse or suspend an account in the event of non-payment, inaccurate data, misuse or an order outside a trade context. The customer informs The Depot without delay of any change of company name, address or VAT number.

3. Prices

Prices are in euros, excluding VAT, per piece or per case according to the product sheet. The price shown after signing in is the customer's price for the stated quantity and pack size.

Prices are valid for 30 days from the date of the quote or the sheet, unless stated otherwise. The price confirmed in the order confirmation remains payable even if prices change afterwards.

If a rise in raw material costs requires a price adjustment, The Depot announces it at least 30 days before it applies. The customer may then refuse orders not yet confirmed, without compensation.

4. VAT and invoicing

Belgian VAT of 21 % applies to deliveries in Belgium. Deliveries to another EU Member State are exempt if the customer provides a valid, verifiable VAT number. Exports outside the Union follow the applicable rules.

Since 1 January 2026, structured Peppol e-invoicing is mandatory between Belgian companies. The Depot issues the invoice on dispatch of the order in Peppol format. The customer provides their Peppol identifier and the expected buyer reference.

A disputed invoice must be reported within 15 calendar days of its issue by email to info@thedepot.be, stating the invoice number and the reason. The dispute does not suspend the due date of the undisputed amounts.

5. Orders

An order becomes firm on written confirmation by The Depot, usually by email. There is no minimum order. Free delivery applies from 250 EUR excluding VAT; below that, transport costs are calculated by weight and destination and shown before validation.

An order may be cancelled free of charge before preparation starts. Once preparation has started, cancellation is possible only with The Depot's agreement, which may invoice costs already incurred. Personalised products cannot be cancelled after the proof has been approved.

6. Delivery

Deliveries are made in the Benelux. An order placed before 14:00 on a working day leaves the warehouse the same day, for delivery in 48 hours in Belgium and 3 to 5 working days in the Benelux. These lead times are indicative and do not apply to personalised products.

Risk passes to the customer on handover to the carrier or, for collection, on handover in Zonhoven. Loading and collection take place from 7:30 to 16:30, on presentation of the delivery note.

The customer checks the condition of the parcels on receipt. Any damage or shortage must be reported within 48 hours, with photos of the parcel and the documents, to info@thedepot.be. Reservations not reported within that period cannot be raised against the carrier, without prejudice to the legal warranty.

A delivery delay gives no right to cancellation or compensation, except in the event of gross negligence or wilful misconduct by The Depot. Where an item is out of stock, the customer is informed and may cancel the relevant line free of charge.

7. Returns and cancellations

Standard stock items may be returned within 14 calendar days of receipt, unopened and in their original packaging, with a return number obtained from The Depot. Return costs are borne by the customer. Refunds are made by credit note or bank transfer, at The Depot's choice, within 30 days.

Not accepted: products personalised with the customer's logo, cut or processed products, samples, end-of-range items and specially ordered products. A manufacturing defect remains covered by the warranty.

8. Warranties and tolerances

The Depot warrants that products conform to the technical sheet and, for personalised products, to the proof approved by the customer. The legal warranty for hidden defects under Belgian law applies.

Customary manufacturing tolerances are accepted: dimensions plus or minus 2 %, grammage plus or minus 5 %, colour in line with the approved proof, subject to normal print and material variation. A colour difference between two print runs is not a defect if it remains within tolerance.

A claim must be made within 8 working days of receipt, with photos and batch number. After inspection, The Depot replaces the items or issues a credit note. The Depot's liability is limited to the price of the order concerned and excludes indirect damage, except in the case of gross negligence or wilful misconduct.

9. Personalisation (Studio)

The customer supplies the file for their logo and warrants that they hold the rights to use it. The Depot checks the file, reports resolution or format problems and may refuse a file that is unreadable, unlawful or infringes third-party rights.

Production starts after written approval of the 3D proof by the customer, who then becomes responsible for texts, colours, dimensions and positions. No cancellation is possible after that approval. Lead times run from approval, not from the order.

Minimums: 25 pieces for screen print and digital print, 50 pieces for hot foil. Indicative lead time: 10 working days after proof approval. The personalisation price is confirmed after the file has been checked.

10. Retention of title

Goods remain the property of The Depot until their price, costs and interest have been paid in full. Ownership passes with the final payment. Risk, however, passes on delivery.

The customer may resell the goods in the normal course of their business. In the event of non-payment, The Depot may require the return of stock at the customer's expense and enter the premises to recover it. In the event of collective proceedings, the customer authorises The Depot to recover unpaid goods.

11. Payment

Pro accounts pay 30 days net from the invoice date, unless another term is agreed in writing. New customers and personalised orders pay in advance or on delivery, as agreed at the time of the order.

Any delay automatically gives rise to interest at the European Central Bank refinancing rate plus 8 percentage points, and to a flat compensation of 40 EUR for recovery costs. The Depot may suspend deliveries and set off amounts due.

Failure to pay one overdue invoice makes all outstanding sums due and may lead to termination of orders in progress, without prejudice to any other remedy.

12. Force majeure and liability

The Depot is not liable for a failure caused by an event beyond its control: strike, supply interruption, fire or damage, cyber attack, administrative decision, natural disaster. Obligations are suspended for the duration of the event.

If the event lasts more than 60 days, either party may terminate orders in progress without compensation; services already provided remain payable.

The Depot's liability is limited to the price excluding VAT of the order concerned. It excludes indirect damage: loss of revenue, loss of customers, damage to reputation, downtime. This limitation does not apply in the case of gross negligence or wilful misconduct.

13. Packaging compliance (PPWR)

Every reference delivered has a packaging passport: material, recyclability, end of life, sorting instruction, EU declaration of conformity and importer. It is accessible by QR and included in the order confirmation.

Regulation (EU) 2025/40 on packaging and packaging waste has applied since 12 August 2026. For packaging personalised with a customer's logo, The Depot may be considered the manufacturer within the meaning of the regulation. The customer provides the necessary information and follows the sorting instructions supplied.

Recyclability grades are stated as targeted until the delegated acts are published. The customer remains responsible for the use of the packaging and for informing their own end customer.

14. Disputes, governing law and language

The parties first seek an amicable solution. A mediation meeting may be requested in writing; it takes place within 60 days. Failing agreement, only the courts of the judicial district of Hasselt have jurisdiction.

These terms are governed by Belgian law, excluding the United Nations Convention on Contracts for the International Sale of Goods. In the event of divergence between language versions, the Dutch version prevails.

The nullity of one clause does not affect the others. Assignment of an order to a third party requires The Depot's written agreement. Communications by email to the addresses on the account are valid. Version of 5 November 2026.
